SimForge Worlds
Non-Commercial Dataset License Agreement
Digital Twins and HD Maps
Version 1.1
1. Parties, acceptance and dataset scope
This SimForge Worlds Non-Commercial Dataset License Agreement (Agreement) is separate from any renderer or software license. It is between the legal entity identified as licensor in the acceptance record (SimForge) and the approved individual or organization identified as licensee (Licensee). It takes effect only after separate affirmative acceptance by electronic signature, signed agreement or recorded click-through acceptance, and SimForge approval. A signatory acting for an organization must have authority to bind it.
Licensed Data means only the datasets identified by asset ID, release and version in the approved dataset manifest. It includes listed digital twins, 3D geometry, meshes, textures, materials, HD maps, road networks, semantic layers, annotations, compiled scene packages and associated metadata. Scenario packs are included only when expressly listed. Delivery with a renderer does not grant a data license. Customer-owned logs and other materials not listed are excluded.
2. Limited non-commercial license
Subject to this Agreement and dataset-specific entitlements, SimForge grants Licensee a limited, non-exclusive, non-transferable and non-sublicensable license during the approved term to download, store, load and use the unmodified Licensed Data solely for the approved Non-Commercial Research project. Use is limited to authorized SimForge software unless the manifest expressly permits another runtime.
Licensee may make installation and backup copies reasonably necessary for approved deployments. Permitted activities include synthetic sensor-data generation, closed-loop simulation, reinforcement learning, model training, evaluation, benchmarking, academic teaching and scholarly reproducibility, subject to the restrictions below. Results permitted by Section 6 may be used in external research analysis and model-training tools; that permission does not authorize exporting or converting the underlying Licensed Data.
3. Non-commercial use only
Non-Commercial Research means academic research, teaching, independent scientific investigation and scholarly reproducibility not undertaken for commercial product development, commercial advantage or monetary compensation for delivering products or services. Ordinary academic salaries, tuition and research grants do not by themselves make research commercial. Industry-funded work qualifies only where it has no commercial-development deliverables or preferential commercial exploitation rights; otherwise, prior written approval is required.
Without a separate written commercial agreement, Licensee must not sell, license, monetize or commercially exploit Licensed Data or Results; use them for customer work, consulting or a hosted service; train or fine-tune models for commercial deployment; or develop, improve, validate or market commercial products or services. Internal corporate research is not automatically non-commercial. Academic affiliation does not authorize commercial employer or sponsor use.
4. No derivative datasets or asset modification
Except as expressly permitted below and under Section 14, Licensee must not modify, adapt, translate, merge, remesh, retexture, relabel, reproject, convert, reconstruct, repackage or create derivative works or substitute datasets from any Licensed Data, in whole or in part, whether or not the resulting material would be distributed. A change of file format, asset identifiers or storage layout does not remove these restrictions.
Licensee may perform temporary in-memory processing, documented parameter changes and runtime-generated caching strictly necessary for authorized use of the unmodified source packages. Such caches remain Licensed Data, must retain applicable restrictions and must not be used as exports to another engine. Independently authored sensor or scenario configurations that reference asset identifiers without incorporating protected asset content are permitted. Reasonable processing of expressly permitted Results is governed by Section 6, not treated as modification of the source datasets.
5. No reverse engineering, extraction or reconstruction
To the maximum extent permitted by law, Licensee must not reverse engineer, decrypt, decode or circumvent protections on Licensed Data; extract protected meshes, textures, semantic layers, road networks, compiled structures or other embedded source assets outside authorized interfaces; or attempt to recover undisclosed source datasets or proprietary asset-processing methods.
Licensee must not use rendered images, point clouds, repeated queries, learned models or other Results to reconstruct, recover or create a replacement for a substantial portion of a licensed digital twin, HD map or other protected asset. This includes training a reconstruction or generative model intended to reproduce the protected environments or dataset. Approved robotics-policy, perception and control research under Section 2 is not prohibited merely because it uses generated sensor data.
Licensee must not ask employees, contractors, AI agents or third parties to perform prohibited acts. Ordinary viewing of documented fields and analysis of authorized outputs remain permitted. Section 14 governs nonwaivable legal rights.
6. Research Results, publications and model training
Results means sensor renders, simulation traces, aggregate statistics, analyses and learned model parameters lawfully generated through approved use, excluding underlying source assets, extracted map or scene data, and material that reconstructs or substitutes for Licensed Data. Licensee may retain and use Results internally for the approved Non-Commercial Research project. Those activities and the publication permissions below are express exceptions to the no-derivatives restriction to the extent an exception is needed.
Licensee may publish scientific findings, metrics, charts and reasonable illustrative 2D images or short clips with the required attribution. Such excerpts must not, individually or in combination, enable recovery of a substantial part of Licensed Data. No separate prepublication approval is required for publications that comply with these limits.
Public release or third-party transfer of bulk synthetic datasets, rendered point-cloud collections, reusable scene representations or model weights trained using Licensed Data or its Results requires SimForge's separate written approval. Source maps, coordinates, geometry, textures, labels and scenario assets may not be published under this permission. Licensee may publish independently authored analysis code and configurations that do not contain protected data.
As between the parties, Licensee retains its rights in independently authored work and Results to the extent protectable, while SimForge and its licensors retain rights in the Licensed Data. No rights in Licensee's pre-existing models, original logs or independently collected data are transferred. Models merely evaluated do not become SimForge property. Ownership does not authorize commercial use or prohibited redistribution.
7. Mandatory dataset attribution
Every publication or public presentation by Licensee or its approved users that uses, relies on or reports work using Licensed Data or its Results must acknowledge SimForge. Covered publications include papers, preprints, theses, dissertations, posters, presentations, technical reports, benchmarks, public demos, videos, research websites, repositories and model cards.
Use the dataset citation supplied with the release, identifying SimForge Worlds, the dataset or city name, asset IDs, version or release, release year and official citation link or persistent identifier where provided. Include the following acknowledgment in a methods, acknowledgments or equivalent section, naming the assets actually used:
This work used digital twins and/or HD maps from SimForge Worlds, provided by SimForge.
Where a format has no reference list, provide visible credit in the caption, description, credits, README or accompanying documentation. Preserve required third-party attribution and notices. Use of SimForge Engine also requires its separate software citation; dataset credit does not replace renderer credit.
Licensee must communicate these obligations to coauthors and collaborators and ensure compliance in publications it controls. Temporary omission is allowed only where mandatory anonymous review requires it; restore credit in the camera-ready or non-anonymous public version. Attribution does not imply endorsement or coauthorship. A public link or citation should be sent to SimForge after publication where legally and practically possible; confidential drafts are not required.
8. No redistribution or shared services
Except for the limited publication permission in Section 6, Licensee must not distribute, sublicense, sell, rent, lend, share, upload or otherwise make Licensed Data available to others. This includes public repositories, data hubs, open object storage, shared download links, container images, mirrors, torrents and hosted simulation or rendering services.
Only approved users under Licensee's control may access Licensed Data. External collaborators must obtain separate access approval unless expressly authorized in the manifest. Private infrastructure and cloud hosting are permitted within approved deployment limits where access is restricted to approved users and necessary infrastructure administration under confidentiality protections. Hosting providers obtain no independent use rights.
9. Separate renderer and third-party rights
This Agreement does not grant any license to SimForge Engine, SimForge Studio, APIs or other software. Software access requires its own license. Both agreements apply when used together, and approval under one does not override the other.
Independently applicable third-party licenses and notices identified in the manifest remain effective for their respective components. This Agreement does not withdraw rights Licensee independently holds under such licenses or in public-domain facts or independently obtained material. Contractual restrictions apply to Licensee's use of the supplied packages to the extent lawful; no universal ownership of geographic facts is asserted.
10. Ownership, notices and nonpublic information
Licensed Data is licensed, not sold. SimForge and its licensors retain all rights not expressly granted. Licensee must not remove or conceal copyright, attribution, license, provenance or ownership notices or embedded identifiers. No trademark rights are granted beyond factual identification and mandatory attribution.
Licensee must protect credentials and nonpublic Licensed Data or technical materials designated confidential or reasonably understood to be confidential. Information lawfully public, previously known without restriction, independently developed without protected materials, or lawfully obtained from a third party is excluded from confidentiality obligations. Legally compelled disclosure is permitted with notice where lawful. These terms do not make compliant publications or public geographic facts confidential.
11. Security, privacy and compliance
Licensee must protect Licensed Data with reasonable access controls, prevent unauthorized downloads, keep credentials private and promptly notify SimForge of suspected loss or misuse. Licensee must not upload source datasets to third-party AI training, asset-conversion or reverse-engineering services, except expressly approved processing within the licensed project.
Licensee must not use Licensed Data to reidentify individuals, defeat de-identification or unlawfully infer or disclose personal information. Licensee must comply with applicable privacy, intellectual-property, export and sanctions laws. On reasonable request, Licensee must confirm its authorized users, approved project and retained asset inventory; this is not unrestricted audit access to unrelated systems or research.
12. Term, suspension and termination
The license lasts until the expiry in the manifest or acceptance record, if any, or termination under this section. Licensee may terminate by stopping use and deleting Licensed Data. SimForge may discontinue beta access on 30 days' written notice and may suspend specific assets immediately when reasonably needed to address security, legal rights or privacy concerns.
SimForge may terminate immediately by written notice for unauthorized commercial use, sharing, prohibited derivatives, prohibited reconstruction, circumvention or reverse engineering. Other material breaches have a 15-day cure period after notice. A citation omission has 30 days to correct publications under Licensee's control or request publisher correction; repeated or intentional omissions may be a material breach.
13. Obligations after termination
Licensee must stop using Licensed Data and, within 15 days, delete or return all copies, compiled caches and credentials, and provide a compliance confirmation on reasonable request. Copies retained solely for mandatory legal archiving must be access-restricted and not used. Lawfully created, non-reconstructive Results and compliant publications may be retained and published for the approved non-commercial research with continuing attribution. Unauthorized copies, reconstructions and derivatives must be deleted.
Ownership, restrictions on retained materials and Results, attribution, confidentiality, accrued claims, disclaimers, liability limits and dispute provisions survive. Retaining a renderer license does not authorize continued use of terminated datasets.
14. Mandatory rights
Nothing in this Agreement restricts any right or activity that applicable law does not permit the parties to exclude or limit by contract, including applicable mandatory database-user, interoperability, research or other exceptions. An exception applies only to the legally required extent and conditions. No notice or approval requirement may be used to defeat a nonwaivable right.
15. Data disclaimer and liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSED DATA IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, COMPLETENESS, ACCURACY OR CURRENCY. SimForge does not warrant that a digital twin or HD map represents present real-world conditions. Licensed Data is not certified for navigation, safety-critical operation or regulatory compliance.
To the maximum extent permitted by law, SimForge is not liable for indirect, special, consequential or punitive damages, lost profits or lost data. Its aggregate liability under this Agreement will not exceed the greater of USD 100 and amounts Licensee paid SimForge specifically for this dataset license during the preceding 12 months. These limits do not exclude or limit fraud, willful misconduct or any liability that law does not permit to be excluded or limited.
16. General terms
California law governs, without its conflict-of-law rules, subject to applicable mandatory law. The parties submit to the competent state courts in Sonoma County, California, and federal courts in the Northern District of California, except where mandatory law requires otherwise. No nonwaivable public-institution immunity is waived by this Agreement.
This Agreement, the approved manifest and acceptance record constitute the agreement for Licensed Data. A separately signed amendment controls only the terms it expressly changes. New online terms do not retroactively amend this accepted version. Invalid provisions are limited or severed to the extent necessary without invalidating the remainder. Notices go to the contacts in the acceptance record. Commercial, modification, redistribution or additional rights require separate written authorization from SimForge.

Acceptance
I have read and separately agree to the SimForge Worlds Non-Commercial Dataset License Agreement v1.1 for the assets in the supplied approved manifest. I acknowledge the non-commercial limitation, required attribution, and restrictions on derivatives, reverse engineering, reconstruction and redistribution. Renderer acceptance alone does not grant these rights.
If an organization is named above, I confirm that I am authorized to bind it. Otherwise, I accept in my own name.
☐ Online: I agree to this agreement. Submit through the beta acceptance workflow.

Use one acceptance method, not both. No title or manually entered date is required. When both licenses are needed, record one explicit acceptance for each; do not ask for the identity details twice.
SimForge-maintained record | No applicant entry
Before acceptance, SimForge provides its licensor legal name and notice contact and the approved manifest for review. The manifest identifies asset IDs, cities, releases, contents/formats, third-party notices, authorized runtime and any separately approved exports. SimForge reuses the beta application to record the approved project, users, environments and any expiry. SimForge records the accepted version, acceptance evidence, effective date and approval reference; the electronic workflow uses an initially unchecked acceptance control and records submission and its timestamp. These linked records form part of this acceptance record, and a copy is provided to Licensee with access confirmation. Approval and affirmative acceptance remain required before access.
Acceptance is limited to this identified agreement and approved scope. Exceptions must be documented by a separately signed amendment.
